Terms of Use

JUGOP-HUB (“JUGOP-HUB”, “we”, “us”, or “our”) operates a business-to-business network that connects companies in the mining, oil and gas sector with the suppliers, contractors, specialists, and financing they need. These Terms of Use (the “Terms”) form a legal agreement between you and JUGOP-HUB and govern your access to and use of our websites, portal, and related services (together, the “Platform”).

By creating an account, posting a need, submitting an offer, or otherwise using the Platform, you confirm that you have read and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

• Member: a company, and its authorised users, with a registered account and, where applicable, an active subscription.
• Guest: a user who posts a need or uses limited features without a subscription, subject to per-use fees.
• Need: a structured request posted by a requester describing goods, services, personnel, or financing sought.
• Offer: a response submitted by a partner to a need, including price and terms.
• Partner: a company that responds to needs, submits offers, advertises, or otherwise provides goods or services through the Platform.
• Content: any information you submit, including needs, offers, messages, attachments, company profiles, reviews, and CVs.

To use the Platform you must be at least 18 years old, be capable of forming a binding contract, and be acting on behalf of a business. When you register a company or accept an invitation to join one, you represent that you are authorised to bind that company to these Terms.

• Accurate information. You agree to provide accurate, current, and complete information and to keep it up to date. Verification badges and other status indicators depend on the information you supply.
• Account security. You are responsible for safeguarding your credentials and for all activity under your account. Sign-in may use one-time codes or a connected Microsoft or Google account. Notify us promptly of any unauthorised use.
• Company members & roles. Company accounts may have multiple users with different roles (such as owner, admin, or member). The company is responsible for the acts and omissions of its users and for managing their access.
• One account. You may not maintain duplicate or misleading accounts, or register on behalf of a company without authority.

JUGOP-HUB is a venue that helps businesses find and reach one another. We are not a party to the dealings between users.

We provide the tools to post needs, receive and compare offers, communicate, and manage the process. We do not supply the goods, services, personnel, or financing that users request, we do not participate in the negotiation or performance of any agreement between users, and we do not guarantee that any need will receive an offer or that any offer will lead to a completed transaction.

Any contract formed between a requester and a partner is solely between those parties. You are responsible for your own due diligence, for satisfying yourself as to the suitability, quality, legality, and safety of any counterparty and any goods or services, and for complying with all laws, licensing, health-and-safety, and regulatory requirements applicable to your activities.

• Posting a need. When you post a need you are inviting partners to respond. You are responsible for the accuracy and lawfulness of what you post and for having the authority to procure what you request.
• Submitting an offer. An offer is a commitment you make to a requester on the terms you state. You must be able to honour any offer you submit, hold the relevant permits and insurance where required, and comply with applicable law.
• Selecting an offer. Selecting or awarding an offer indicates a requester’s intent to proceed with that partner. The resulting agreement, including scope, price, delivery, payment, and dispute resolution, is negotiated and concluded directly between the parties.
• Anonymous needs. A requester may post anonymously; identity and contact details are revealed to a partner only when the requester chooses to shortlist or engage them. Do not attempt to circumvent these controls.

We may display an estimated ranking of offers (see AI features) to help you compare them. Rankings are guidance only and do not constitute a recommendation to enter into any transaction.

The Platform allows businesses to raise capital or to review and respond to financing requests from other businesses. JUGOP-HUB is not a bank, lender, broker, investment adviser, or financial intermediary, and does not provide financial, investment, legal, tax, or accounting advice.

• Nothing on the Platform is an offer or solicitation to buy or sell any security or financial product.
• Users seeking or offering finance are solely responsible for their own due diligence, for the terms they agree, and for compliance with all applicable financial-services, securities, anti-money-laundering, and know-your-customer laws.
• Any financing arrangement is concluded directly between the parties, and JUGOP-HUB is not a party to it.

The Platform lets candidates share professional profiles and lets businesses browse a talent database. Where a CV is submitted anonymously, we remove direct identifying details before it is shown to other users; a candidate’s identity and contact details are shared only where the candidate chooses to reveal them or responds to interest.

• If you submit a CV, you confirm you are the candidate or have the candidate’s consent, and that the information is accurate and lawful to share.
• If you access candidate information, you agree to use it only to evaluate and contact candidates for genuine opportunities, to keep it confidential, and to comply with applicable data-protection and employment law. You must not attempt to re-identify an anonymous candidate.

• Per-need fees. Guests and certain plans may pay a fee to post a need. The applicable fee is shown before you confirm.
• Subscriptions. Membership plans are billed in advance on a monthly or annual cycle. Where a free trial is offered, your plan begins at the end of the trial unless you cancel before it ends.
• Auto-renewal & cancellation. Subscriptions renew automatically for successive periods until cancelled. You may cancel at any time, effective at the end of the current billing period; cancellation stops future renewals but does not shorten the paid period already in progress.
• Payment processing. Payments are processed by our third-party payment provider, Paystack. By paying, you also agree to the payment provider’s terms. We do not store your full card details.
• Credits & referrals. Account credits, including referral rewards, have no cash value, may be applied only toward eligible fees, and may expire or be withdrawn if earned through abuse.
• Taxes. Fees are exclusive of taxes unless stated. You are responsible for any taxes that apply to your use of the Platform other than taxes on our income.
• Refunds. Except where required by law, fees are non-refundable. We may, at our discretion, issue a credit or refund in individual cases.
• Failed payments. If a payment fails, we may suspend paid features or downgrade your plan until the amount due is settled.

You retain ownership of the Content you submit. You grant JUGOP-HUB a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, and display your Content solely as needed to operate, secure, and improve the Platform and to provide the service to you and to the users you direct it to (for example, showing a need to relevant partners).

• You represent that you have the rights necessary to submit your Content and that it does not infringe any third party’s rights or breach any law or obligation of confidence.
• You are responsible for your Content. We may, but are not obliged to, review, moderate, or remove Content that we believe breaches these Terms.
• Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free licence to use it without restriction or obligation to you.

The Platform includes AI-assisted features (“JUGOP AI”), such as ranking offers against a need, summarising information, and answering questions. These features use third-party AI providers acting on our behalf and are provided to assist you, not to replace your own judgement.

• AI outputs may be incomplete or inaccurate and are provided “as is”, as guidance and not as professional advice.
• You remain responsible for verifying information and for any decision you make.
• We do not make decisions producing legal or similarly significant effects about you solely by automated means without a lawful basis; see our Privacy Policy.

You agree not to, and not to permit anyone to:

• use the Platform for any unlawful, fraudulent, or misleading purpose, or to post false or deceptive needs, offers, or profiles;
• infringe intellectual-property, privacy, confidentiality, or other rights;
• upload malware, or attempt to gain unauthorised access to the Platform, other accounts, or our systems;
• scrape, harvest, or bulk-extract data, or use bots to interact with the Platform, except as we expressly permit;
• circumvent verification, anonymity, fees, usage limits, or security measures;
• harass, threaten, or defame others, or send spam or unsolicited marketing through the Platform;
• reverse engineer, decompile, or attempt to derive source code, except to the extent the law does not allow this restriction;
• resell, sublicense, or make the Platform available to third parties except as intended by the service.

The Platform, including its software, design, text, graphics, and the JUGOP-HUB name and logo, is owned by JUGOP-HUB or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes. All rights not expressly granted are reserved. You may not use our name or marks without our prior written consent.

We may apply verification badges or similar indicators to companies based on checks we consider reasonable. Verification is not a guarantee, warranty, or endorsement of any user, of their identity, credentials, solvency, conduct, or of the quality, safety, or legality of any goods or services. You should carry out your own checks before entering into any transaction.

To the fullest extent permitted by law, the Platform is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that any content is accurate or reliable. We are not responsible for the conduct of any user or for any transaction, agreement, dispute, loss, or damage arising between users.

To the fullest extent permitted by law, JUGOP-HUB and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or relating to your use of, or inability to use, the Platform, even if advised of the possibility of such loss.

Our total aggregate liability arising out of or relating to the Platform in any twelve-month period will not exceed the greater of (a) the total fees you paid to us for the Platform in that period, or (b) five hundred United States dollars (US$500). Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

You agree to indemnify and hold harmless JUGOP-HUB and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your Content, your use of the Platform, your dealings with other users, or your breach of these Terms or of any law.

You may stop using the Platform at any time and may request that we close your account. We may suspend or terminate your access, remove Content, or withdraw features if we reasonably believe you have breached these Terms, created risk or legal exposure, or where required by law.

On termination, your right to use the Platform ends. Provisions that by their nature should survive, including those on content licences, fees due, disclaimers, liability, indemnity, and governing law, will survive. We handle account data after closure as described in our Privacy Policy.

We may change or discontinue features of the Platform, and we may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify you, for example by posting a notice on the Platform or updating the date above. Your continued use after changes take effect means you accept the updated Terms.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by the laws of the Republic of Ghana. The courts of Ghana have exclusive jurisdiction, and you submit to that jurisdiction, subject to any right you have under applicable law that cannot be excluded.

Before commencing proceedings, we encourage you to contact us so we can try to resolve the matter informally.

• Entire agreement. These Terms, with the Privacy Policy and any terms you accept for specific features, are the entire agreement between you and us regarding the Platform.
• Severability. If any provision is held unenforceable, the rest remain in effect and the provision will be applied to the maximum extent permitted.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may give notices through the Platform or by email to the address on your account.
